현금 담보 설정 계약서
cash collateral agreement
아시아나 항공(이하 “Assignee“ 이라 한다) 독일지부와 임팩스 독일지점 (이하 „Debtor“이라 한다) 간에 아래와 같이 담보설정계약을 체결한다.
Asiana Airlines (Hereinafter referred to as "Assignee")
and IMPEX GLS GMBH (hereinafter referred to as "Debtor") are entered
into a collateral agreement as follows.
제 1조 (담보설정)
ASSIGNEE 와 DEBTOR 간에 체결한 “정산 및 담보제공약정서“ (이하 “대리점 계약“이라 함)에 의하여 현재 또는 장래에 또는 미래에 발생하는 일체의 DEBTOR 의 채무, 이자 및 자연손해 배상금(이하 “피담보 채무“라함) 등의 지불을 담보하기 위하여 현금담보(만유로)에 대해서 갑을 질권자로 질권을 설정한다.
Article 1 (collateral)
A "settlement and pledged Agreement" (the "Dealer Agreement" means) in the current or any of the Debtor to occur in the future or future liabilities, interest and natural damages (hereafter by "secured debt") concluded between the Assignee and the Debtor set the pledge to the pledgee for the pack of cash collateral (10,000.00 Eur) in order to guarantee the payment.
제 2조 (설정방법)
2016년 2월 18일까지 아래의 계좌로 1만유로를 송금
Article 2 (Setting)
Until February 18, 2016 cash collateral (10,000.00 Eur) should be transfered into account of the Assignee as follows :
제3조 (기한의 이익 상실)
DEBTOR이 아래 각호의 1에 해당되는 경우, 대리점 계약상의 채무변제에 관한 기한의 이익을 상실하며 이 경우에 ASSIGNEE은 담보물을 처분하여 그 대금으로써 피담보 채무 및 그 처분에 소요된 비용의 변제에 충당할 수 있다.
Article 3 (loss of profits due)
If the Debtor any of the following subparagraphs, it loses the profits due on debt and agency contract. In this case, by disposing of the collateral, the Assignee can appropriate for reimbursement of debt and cost for secured debt’s disposal.
1. 대리점 계약상의 의무불이행
2. DEBTOR이 발행 또는 배서한 당좌수표 및 어음의 부도
3. DEBTOR이 ASSIGNEE에게 교부한 당좌수표 및 어음의 부도
4. DEBTOR이 파산의 위험이 있다고 ASSIGNEE이 판단한 경우
5. DEBTOR이 본 계약상 의무 불이행
1. Default on a dealer contractual obligations
2. A dishonored check and bill which Debtor issued or endorsed it
3. A dishonored check and bill which Debtor is issued to Assignee
4. If Assignee has determined that Debtor is a risk of bankruptcy
5. If Debtor has not fulfilled this contractual obligations
제 4조 (기 간)
이 계약의 유효기간은 2016년 2월 18일부터 시작하여 대리점 계약 만료될때 까지 입니다.
Article 4 (Period)
The validity period of this contract will be started from February 18 2016 and is terminated when the agency contract expires.
제5조(담보물 처분)
Debtor은 담보물 처리방법, 시기, 가격 및 처분 대금의 변체 충당 방법 등에 관한 일체의 결정을 ASSIGNEE에게 일임하며, 또한 ASSIGNEE의 요청에 따라 담보물 처분에 필요한 일체의 협력을 하여야 한다.
Article 5 (dispose of the collateral)
Debtor has delegated all decisions about how to handle such collateral, timing, price and disposal method variant cover payments to Assignee.
In addition Debtor should cooperate for everything that Assignee need to dispose of the collateral in accordance with request.
제6조 (정산방법)
1. 제3조의 각 1의 사유발생시 Debtor은 담보금으로 모든 채무 변제에 충당하고, 잔여금이 있을 경우에는 그 잔여금을 Debtor에게 반환한다.
2. 채무변제의 충당 순서는 담보실행 경비 등 제비용, 지연배상금, 이자, 원금의 순으로 충당하며, 담보금으로 Debtor의 Assignee에 대한 채무를 전액 변제 할 수 없을 경우, Assignee은 Debtor의 일반재산에 대하여 집행 할 수 있다.
Article 6 (settlement method)
1. Based on article 3, Debtor can cover the repayment of any debt through collateral.
If there is a residual, it should give back to the debtor.
2. The order of appropriation of debt repayment is running expenses such as mortgage expenses, delay damages, interest, principal, and then
If it is not possible to cover by a collateral, Assignee can enforce against the general assets of the Debtor.
