FIDIC 2017 개정판 소개, 분쟁해결(Dispute Resolution)

이전 판에서는 분쟁해결 절차를 Claim 절차와 함께 20조에서 다루었었는데 개정판에서는 분쟁해결 절차를 Claim 절차와 분리하여 독립된 21조를 추가 하였습니다.

개정판에서는 Dispute 정의하고 있으며 Red Book 규정된 내용을 인용하면 아래와 같습니다. (Yellow Book 다르지 않으며 Silver Book 경우에는 계약의 특성을 고려하여 Engineer 대신 Employer's Representative 대체되어 있고 조항의 번호도 3.5 조항으로 바꾸었을 뿐입니다.)

 

Dispute means any situation where:

(a)         one Party makes a claim against the other Party (which may be a Claim, as defined in these Conditions, or a matter to be determined by the Engineer under these Conditions, or otherwise)

(b)        the other Party (or the Engineer under Sub-Clause 3.7.2 [Engineer’s Determination]) rejects the claim in whole or in part; and

(c)         the first Party does not acquiesce (by giving a NOD) under Sub-Clause 3.7.5 [Dissatisfaction with Engineer’s determination], or otherwise)

provided however that a failure by the other Party to oppose or respond to the claim, in whole or in part, may constitute a rejection if, in the circumstances, the DAAB or the arbitrator(s), as the case may be, deem it reasonable for it to do so. 

 

 정의에서   있듯이, Claim 제기했다 하여, 또는 Claim 거부 당했다는 것만으로는 분쟁(Dispute) 발생한 것으로 간주되지 않는다는 것을 이해해야 합니다. 아울러. Claim 대한 회신을 하지  하는 경우 거부로 간주될  있음도 함께 이해해야 합니다. 위에 인용된 (c)항에 언급되어 있듯이 분쟁이 발생하려면 Notice of Dissatisfaction(NOD) 발급이 반드시 있어야 합니다. 계약조건에 정해진 기한내에 NOD 발급하지 못하면 다음 단계의 분쟁해결 절차를 진행할  있는 권리를 박탈당하는데, 예를 들면 3.7조항(Red Book, Yellow Book) 또는 3.5조항(Silver Book) 의한 결정이 최종적이고 구속력 있는 결정이 된다는 것이고, 이후 분쟁 해결 절차에서도 마찬가지인데 DAAB 결정에 대해 NOD 발급하지 않으면 마찬가지로  이후 분쟁 해결 절차인 중재로 회부할  있는 자격을 박탈 당하도록 하고 있기 때문입니다.  부분은 개정판에서 특히 신경 써야  부분이므로 반드시 지켜질  있도록 해야겠습니다. 

 

분쟁 해결 절차는 이전판과 다르지 않은데,

①         1차적으로 DAAB(Dispute Avoidance/Adjudication Board) 의해 결정이 되고 그러한 결정으로 해결되지 않는 경우(상대방이 불복하는경우)

②         우호적 합의(Amicable Settlement) 과정을 거치되 강제적인 것은 아니고

③         최종적으로 중재(Arbitration) 의해 결정되는 것으로 하고 있습니다.

 

이전 판에서는 DAB(Dispute Adjudication Board)라는 용어를 사용했던 것을 개정판에서는 DAAB(Dispute Avoidance/Adjudication Board)라는용어로 변경했는데 이는 개정판이 분쟁 회피를 위해 노력하고 있다는 것을 보여주고 싶은 것이 아닌가 합니다. 이전판에서도 분쟁회피를 위한 규정이 없었던 것이 아닙니다. 다만 개정판에서는  당사자의 합의에 의해 분쟁사안에 대한 비공식적 의견을 DAB 문의  있었던 이전 판에 더하여, DAAB  당사자에게 권고(DAAB에게 의견을 물어 보도록)  있도록 하는 것을 추가  것에 불과하기때문입니다.

 

개정판에서의 변화는 이전 판의 경우 Red Book 상시 DAB(공사 초기부터 임명하여 공사 끝까지 유지되는 Standing DAB) 하였고 Yellow Book Silver Book 경우에는 임시 DAB(Ad-hoc DAB라고하며, 분쟁이 발생할  구성하고 분쟁이 해결되면 해산하는 DAB) 적용 했었는데, 이번 개정판에서는 Yellow Book Silver Book에도 Standing DAAB 적용되는 것으로 바꾸었다는 것입니다. Standing DAAB 하지 않으면 분쟁회피를 위한 역할을   없으니 당연한 것이 아닌가 합니다. DAAB 절차나 중재절차는 이전판과 달라진 것이 없으므로 여기서는 생략하기로 하겠습니다.
